Terms and Conditions

1. Introduction

Welcome to rheopay ("Company", "we", "our", "us"). These Terms and Conditions govern your access to and use of the rheopay platform, including our website, APIs, and all related services (collectively, the "Service"). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. By using rheopay, you represent and warrant that you meet these requirements. Use of the Service for personal, non-commercial purposes is not permitted.

3. Account Registration

To access the Service you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@rheopay.com of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe are being misused.

4. Description of Service

rheopay is a payment-link platform that enables merchants to create shareable payment links, collect payments from their customers, and manage transactions via third-party payment service providers ("PSPs") including Mollie and Stripe. rheopay acts solely as a technology intermediary and is not itself a licensed payment institution or money transmitter.

Actual payment processing is performed by our PSP partners, each of which has its own terms of service and privacy policy that you may also be subject to.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for fraudulent, deceptive, or illegal transactions.
  • Process payments for goods or services that are prohibited by applicable law or by our PSP partners' acceptable-use policies.
  • Attempt to circumvent, reverse-engineer, or disrupt the platform's technical measures.
  • Transmit malware, spam, or other harmful content through the Service.
  • Resell or sublicense access to the Service without our prior written consent.

We reserve the right to immediately suspend your account and withhold funds if we detect or are notified of prohibited activity.

6. Fees and Billing

rheopay charges a platform fee on each payment processed through the Service, as displayed on our Pricing page. Subscription fees (where applicable) are billed monthly in advance. All fees are exclusive of applicable taxes unless stated otherwise.

Fees are non-refundable except as required by applicable law or as expressly stated herein. We reserve the right to change our fee schedule with at least 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

7. Payouts and Settlements

Payouts are subject to the terms of the PSP through which your payment was processed. rheopay does not hold or control merchant funds; settlement timing is governed entirely by the applicable PSP. rheopay is not liable for delays, failures, or disputes arising from PSP settlement processes.

8. Intellectual Property

All intellectual property rights in and to the Service — including software, design, trademarks, and content — are and remain the exclusive property of rheopay or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your business purposes during the term of your account.

9. Data Protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you consent to such processing and warrant that all data you provide is accurate.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service and not to disclose it to third parties without prior written consent, except as required by law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, rheopay and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) the total fees paid by you to rheopay in the three months preceding the claim, or (b) €100.

13. Indemnification

You agree to indemnify and hold harmless rheopay and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may terminate your account at any time from your account settings. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we are required to do so by law or a PSP partner. Upon termination, your right to use the Service ceases immediately. Any outstanding fees remain payable.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, notify you by email or an in-app notice. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands, without prejudice to your rights as a consumer under mandatory local law.
